Welcome to Talktopus. These Terms of Service ("Terms") govern your use of the Talktopus desktop application and related services. By downloading, installing, or using Talktopus, you agree to be bound by these Terms.

1. Definitions

• "Talktopus" refers to our desktop dictation software and associated services.
• "Community Edition" refers to the free, open-source version licensed under AGPLv3.
• "Pro Edition" refers to the paid version with additional features and a proprietary license.
• "License Key" refers to the unique code provided upon purchase of Pro Edition.
• "Activation" refers to the process of validating a License Key on a device.

2. License Grant

2.1 Community Edition (Free)

The Community Edition is licensed under the GNU Affero General Public License v3.0 (AGPLv3). You may use, modify, and distribute the software according to the terms of that license. The full license text is available at gnu.org/licenses/agpl-3.0.

2.2 Pro Edition (Paid)

Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use the Pro Edition on up to three (3) devices you personally own or control. This license includes:

• All current Pro features at the time of purchase
• Free updates for the lifetime of the product
• Priority support via email

3. Payment and Refunds

3.1 Pricing

Pro Edition is available for a one-time payment of $20 USD (or equivalent in your local currency). Prices may change, but any price change will not affect existing license holders.

3.2 Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with Pro Edition for any reason, contact us within 30 days of purchase for a full refund. After 30 days, refunds are provided at our discretion.

3.3 Payment Processing

All payments are processed securely by LemonSqueezy. We do not store your payment card details. By making a purchase, you agree to LemonSqueezy's terms of service.

4. Activation and Device Limits

4.1 Activation Limit

Each Pro license may be activated on up to three (3) devices. If you exceed this limit, you must deactivate an existing device before activating a new one.

4.2 Deactivation

You may deactivate devices at any time through the customer portal at talktopus.app/portal.

4.3 Device Replacement

If you replace a device (e.g., hardware upgrade), simply deactivate the old device and activate the new one. No additional purchase is required.

5. Acceptable Use

You agree NOT to:

• Share, distribute, or resell your License Key
• Attempt to bypass activation or license verification
• Reverse engineer, decompile, or disassemble Pro Edition features
• Use Talktopus for any illegal purpose
• Use Talktopus to harass, abuse, or harm others
• Interfere with or disrupt our services

6. Third-Party Services

6.1 AI Providers

Talktopus integrates with third-party AI services (e.g., OpenAI, Anthropic) for speech-to-text and text processing. Your use of these services is subject to their respective terms. You are responsible for:

• Obtaining and managing your own API keys
• Any costs associated with API usage
• Compliance with the AI provider's terms of service

6.2 Data Processing

When using AI features, your voice and text data are sent to the AI provider you have configured. Please review their privacy policies. We do not have access to this data.

7. Intellectual Property

7.1 Ownership

Talktopus, including its code, design, branding, and documentation, is owned by us and protected by intellectual property laws. The Pro Edition proprietary components are not covered by AGPLv3.

7.2 Your Content

You retain all rights to the content you create using Talktopus. We claim no ownership over your dictated text or any other content you produce.

8. Disclaimer of Warranties

TALKTOPUS IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF RESULTS

We do not guarantee that Talktopus will be error-free, uninterrupted, or meet your specific requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Any damages exceeding the amount you paid for Talktopus

This limitation applies regardless of the legal theory (contract, tort, or otherwise).

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of Talktopus or violation of these Terms.

11. Termination

11.1 By You

You may stop using Talktopus at any time. Uninstall the software and deactivate your license if desired.

11.2 By Us

We may terminate or suspend your license if you violate these Terms. Upon termination for violation, you must cease all use of Pro Edition and you will not receive a refund.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting on our website. Continued use of Talktopus after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of [Your State/Jurisdiction].

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Talktopus.
